Terms of Service

These Terms govern your use of the ContractorXP construction-management platform operated by NexDev Systems ('we', 'us'). By creating an account or using the service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm that you have authority to bind that company.
1. The service
ContractorXP is a software-as-a-service (SaaS) platform that helps construction businesses manage projects, estimates, invoices, payments, daily reports, timesheets, and a worker portal. We may add, modify, or remove features over time. We will not materially reduce the functionality of a paid plan during a billing period without your consent.
2. Eligibility & account responsibilities
- You must be at least 18 years old and capable of forming a binding contract.
- You must provide accurate, current information and keep it updated.
- You are responsible for safeguarding your password and any actions taken under your account. Notify us immediately at support@nexdevsystems.io if you suspect unauthorised access.
- You are responsible for the conduct of all team members, workers, and sub-accounts you invite to your company workspace.
3. Plans, billing & trial
- Plans, prices, and features are described on the pricing page.
- New companies receive a 14-day free trial of the Professional plan. No payment information is required to start the trial.
- If you do not subscribe before the trial ends your account will be limited to read-only access until you choose a plan.
- Subscriptions are billed monthly in Philippine Pesos (PHP) by our payment processor, PayMongo. Charges are made on the same calendar day each month.
- Plans renew automatically. You may downgrade or cancel any time from Settings → Billing; cancellation takes effect at the end of the current billing period.
- You are responsible for any taxes (including VAT) that apply to your jurisdiction. Prices on the pricing page are inclusive of 12% VAT for Philippine customers.
Refunds are governed by our separate Refund Policy.
4. Acceptable use
You agree NOT to use ContractorXP to:
- Violate any law or regulation, including the Philippine Labor Code, BIR receipting rules, the Building Code, or the Data Privacy Act.
- Upload content that is illegal, defamatory, obscene, infringing, or that contains malware.
- Reverse engineer, scrape, or attempt to gain unauthorised access to the platform or other tenants' data.
- Send unsolicited communication (spam) to your clients or workers via our system.
- Resell, sublicense, or white-label the service without a written commercial agreement with us.
- Interfere with or disrupt the service, including by automated means, beyond reasonable use of our published APIs.
We may suspend or terminate accounts that violate this section.
5. Your data & intellectual property
You own your data. All clients, projects, estimates, invoices, photos, timesheets, and other content you upload remain your property. You grant us a limited licence to host, process, transmit, display, and back up that data solely for the purpose of providing the service to you and as further described in our Privacy Policy.
We own the platform. The ContractorXP software, its design, source code, trademarks, and documentation are owned by NexDev Systems and protected by Philippine and international intellectual property law. Nothing in these Terms transfers any platform IP to you.
6. AI features
The AI Estimate Review and AI Takeoff features generate suggestions and estimates from inputs you provide. Output may contain errors or omissions. You are responsible for verifying AI-generated output before relying on it for client deliverables, contracts, or regulatory filings. We do not warrant that AI output is accurate or fit for any particular purpose.
7. Service availability
We aim for at least 99.5% monthly uptime, excluding planned maintenance announced at least 24 hours in advance, force majeure events, and outages of upstream providers (Supabase, Vercel, PayMongo, Anthropic, network operators). We do not currently offer a contractual SLA — Enterprise customers may request a custom agreement.
8. Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components, nor that it will meet every requirement of your business.
9. Limitation of liability
To the maximum extent permitted by Philippine law, our aggregate liability arising out of or relating to these Terms or the service is limited to the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) PHP 5,000. We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.
This limitation does not apply to: (i) your obligation to pay fees, (ii) breach of confidentiality, (iii) infringement of our intellectual property, or (iv) liability that cannot be excluded under applicable consumer-protection law.
10. Indemnification
You agree to defend, indemnify, and hold harmless NexDev Systems and its officers, employees, and contractors against any claims, damages, or costs (including reasonable lawyer's fees) arising from (a) your use of the service in violation of these Terms or applicable law, (b) content you upload, or (c) disputes between you and your clients, workers, or sub-accounts.
11. Termination
You may stop using the service at any time. We may suspend or terminate your account if you (a) materially breach these Terms and do not cure within 14 days of written notice, (b) fail to pay fees more than 30 days past due, or (c) use the service in a way that exposes us or other customers to legal or security risk.
On termination, your access to the platform ends. We will retain and delete your data as described in our Privacy Policy. You may export your data at any time during your subscription via Settings → Export Data, and within the 90-day grace period after cancellation.
12. Governing law & disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute that cannot be resolved by good-faith negotiation will be resolved by the courts of Quezon City, Metro Manila, to whose exclusive jurisdiction both parties consent.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material we will notify you by email and post a banner inside the application at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance.
